CITY OF VAN BUREN, ARKANSAS RESOLUTION NO. U 4- 02-2020 BE IT ENACTED BY THE CITY COUNCIL, FOR THE CITY OF VAN BUREN, ARKANSAS, A RESOLUTION TO BE ENTITLED: A RESOLUTION APPROVING AN AGREEMENT WITH THE CENTER FOR ARTS AND EDUCATION AND FOR OTHER PURPOSES. WHEREAS, The Center for Arts and Education is renovating buildings adjacent to the King Opera House that the Center owns in the four-hundred block of Main Street for the purpose of establishing a new art center facility; WHEREAS, The Center for Arts and Education and the City of Van Buren wish to create a passage-way between the Center and the King Opera House to promote cross-utilization of the facilities and to promote tourism; and WHEREAS, The Center and the City also wish to construct a paved parking lot on a vacant lot owned by the City directly behind the King Opera House to allow for additional parking and access to the downtown area generally and to the Center and King Opera House specifically; and WHEREAS, The Center has agreed to pay for the cost of the improvements, including professional design and construction, as set forth in the attached agreement; and WHEREAS, The improvements will greatly benefit the City of Van Buren and its citizens by promoting tourism and utilization of City facilities, and allowing for additional parking for easier access to Main Street for the public, and it is the desire of the City of Van Buren,Arkansas to enter into such an agreement. NOW, THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF VAN BUREN,ARKANSAS, THAT: SECTION 1: The City of Van Buren, Arkansas approves the attached agreement with the Center for Arts and Education, and the Mayor is authorized to execute same, along with any documents necessary to allow for the temporary use and access to the vacant lot behind the King Opera House or to execute any other documents necessary to effectuate this purpose. Settle City Clerk/Treasurer City Attorney AGREEMENT BETWEEN THE CITY & CAE RELATING TO THE CONSTRUCTION OF A PASSAGEWAY BETWEEN CAE'S NEW CENTER& THE KOH,AND CONSTRUCTION OF A PARKING LOT BY CAE ON CITY-OWNED PROPERTY BEHIND THE KOH WHEREAS, the Center for Art & Education (CAE), a Van Buren based Arkansas non- profit organization, is renovating buildings it owns in the four-hundred block of Main Street. This renovation project will construct and establish a new art center facility for the CAE that will serve the Van Buren community and the River Valley region. The construction project began in early 2020 and is expected to be completed in late 2021; and WHEREAS, the City of Van Buren owns the adjacent King Opera House and a vacant lot directly behind the King Opera House; and WHEREAS, the Center for Art & Education and the City of Van Buren wish to connect the Center for Art& Education building and the King Opera House to promote tourism and cross- utilization of the buildings which will benefit of the citizens of the City of Van Buren; and WHEREAS,the Center for Art& Education and the City of Van Buren desire to construct a paved parking lot on the City of Van Buren lot behind the King Opera House to allow for additional parking for both buildings and the general downtown area for the purpose of promoting tourism which will benefit the downtown area and the citizens of the City of Van Buren. NOW, WHEREFORE, on the day below written, the Center for Art & Education (hereinafter "CAE"), and the City of Van Buren, Arkansas (hereinafter "City of Van Buren" or "City"), enter into the following agreement: Section 1: The City of Van Buren, subject to the approval of the City Council, hereby grants permission to the CAE to undertake construction and development of the passageway and the parking lot in accordance with and as described by this agreement and its attachments. The CAE, from its raised capital campaign funds,will fund the project in its entirety. Section 2: Passage-way. a. One of the two buildings being renovated by CAE is located adjacent to and shares a common wall with the City's King Opera House. CAE will construct a securable passage- way in the common wall between the CAE facility and the King Opera House lobby. All costs relating to this work,including professional design and construction,will be paid for by the CAE. b. The door opening will include a fire door with all the proper hardware as required for a party wall in accordance with the Arkansas Fire Code. c. On-going future maintenance and upkeep of the passageway — specifically the doorway, door, stairway and handicapped lift — will be CAE's responsibility. On-going future maintenance and upkeep of building components on the King Opera House side of the passageway will be the City of Van Buren's responsibility. d. The passageway door will be lockable and, at times,unlocked and opened only by mutual agreement between the CAE and the City of Van Buren's designee (such as the mayor's office). The CAE will control and maintain the door-lock mechanism and code and will provide the City of Buren's designee with the code. Section 3: Parking lot. The CAE also desires to construct a paved parking lot, which will include security lighting and drainage improvements,upon the city-owned,vacant property that is directly behind the King Opera House. a. The City of Van Buren agrees to allow CAE to construct a paved parking lot on the City of Van Buren's vacant lot behind the King Opera House, noted by the Crawford County Tax Assessment records as parcels 700-00166-000-E, 700-00167-000-E and 700-00168-000-E, and CAE agrees to construct a paved parking lot, with security lighting and drainage improvements. b. CAE will be responsible for all costs related to this work,including professional design and construction. c. Upon completion, the parking lot will be utilized by the general public, including parking for users and patrons of CAE and the King Opera House. d. Upon completion of the CAE's construction of the parking lot and related improvements, per the plans and specifications provided the city, and the city's acknowledgement that construction work has been satisfactorily completed in accordance with the plans, the city shall be responsible thereafter for on-going future maintenance and upkeep of the parking lot, including the pavement and above-ground and below-ground improvements (such as lighting, lighting fixtures and drainage system). e. The CAE agrees to maintain at its expense green spaces and plant landscaping on the property, including the provision of green space irrigation. Section 4: General Provisions. a. USE OF KING OPERA HOUSE. CAE may at times request of the city permission to utilize the King Opera House for its exclusive purposes relating to events and activities sponsored by the CAE. The CAE understands that the city's granting of such permission will be on a case by case basis and will be at the city's discretion. b. CONSTRUCTION PLANS. CAE has provided the City of Van Buren a complete set of construction plans and specifications for CAE's new center project. For informational purposes, attached to this document are plan sheets from that complete set that relate specifically to the CAE/King Opera House passageway and to the parking lot,which are labeled C1.0, C3.0, C4.0 and C5.0, and A0.1,A0.4 and A2.1. c. PROFESSIONAL SERVICES. Design architect for the project is MAHG Architecture; construction management services are provided by Beshears Construction; and civil engineering services are provided by Hawkins-Weir Engineers d. MODIFICATIONS TO PLANS. That no modifications to the construction plans or specifications will be made without the express written approval of the City of Van Buren. e. COMPLIANCE WITH LAW. The CAE agrees to comply with all local, state and federal law and regulation with respect to the construction of the passage-way and parking lot. f. INSURANCE. CAE will ensure that the providers of professional services for the construction of the improvements will have adequate insurance and bonds securing the faithful performance of the work and will provide the City of Van Buren proof of same upon request. 1. This agreement represents the entire and integrated agreement of the parties and supersedes all prior negotiations representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both parties. 3. CHOICE OF LAW. This Agreement shall be construed under the laws of the State of Arkansas. 4. INDEMNIFICATION. CAE agrees to indemnify, defend and hold harmless the City of Van Buren,its officers,agents,and employees from and against any lawsuits,claims, causes of action, liabilities, demands, judgments, settlements, disabilities, losses, expenses including reasonable attorney's fees and costs, arising out of, based upon or in any way connected to the performance of this Agreement. 5. BINDING AGREEMENT. This Agreement shall be binding upon the parties and upon their successors,heirs,personal representatives and assigns. 6. SEVERABILITY CLAUSE. If any provisions of this Agreement shall contravene or be invalid under the laws of the State of Arkansas, such contravention or invalidity shall not invalidate the entire Agreement, but it shall be construed as if not containing the particular provision or provisions held to be invalid, and the rights and obligations of the parties shall be construed and enforced accordingly.
