BE IT ENACTED BY THE CITY COUNCIL, FOR THE CITY OF VAN BUREN,
ARKANSAS, AN ORDINANCE TO BE ENTITLED:
AN ORDINANCE APPROVING THE PURCHASE OF
PROPERTY FROM J.W. FLOYD, A COMMISSIONER
ON THE MUNICIPAL UTILITIES COMMISSION;
RATIFYING THE PURCHASE OF THE PROPERTY;
AND FOR OTHER PURPOSES.
WHEREAS, the City of Van Buren, Arkansas, owns a water works system and a wastewater
collection and treatment system,both being operated,maintained and administered
by the City of Van Buren Municipal Utilities Commission(Commission) pursuant
to Ordinance 9-1965; and
WHEREAS, the Commission previously determined that additional real property was needed for
the purpose of land application of biosolids generated by the City's three (3)
Wastewater Treatment Plants; and
WHEREAS, after negotiating with the sellers of the real property, one of the sellers including
J.W. Floyd, the Commission offered by Resolution dated March 19, 2019, to
purchase said property for the amount of$387,000.00; and
WHEREAS, the Van Buren City Council approved the purchase of the real property from J.W.
Floyd, one of five co-owners of said real property,pursuant to Resolution No. 3-2-
2019; and
WHEREAS, J.W. Floyd is a commissioner on the City of Van Buren Municipal Utilities
Commission; and
WHEREAS, pursuant to Ark. Code Ann. Section 14-42-107, officials or employees of the City
of Van Buren may not contract with the City unless approved by ordinance of the
City Council; and
WHEREAS, the City Council of the City of Van Buren wishes to approve conducting business
with the aforesaid commission member and ratify the sale of the property in all
respects.
NOW,THEREFORE,BE IT ORDAINED AND ENACTED BY THE CITY COUNCIL OF
THE CITY OF VAN BUREN,ARKANSAS,THAT:
SECTION 1: The Van Buren City Council hereby expressly authorizes the purchase of property,
as set forth in the attached Resolution, from the City of Van Buren Municipal
Utilities Commissioner J.W. Floyd, one of five co-owners of said property, and
ratifies in all respects the sale of the property made pursuant to City of Van Buren
Resolution No. 3-2-2019.
IN WITNESS WHEREOF, the City of Van Buren, Arkansas, by its City Council, did
pass, approve, and adopt, by a vote of (o for and C.) against, the foregoing Ordinance at its
regular meeting held on the 16th day of December 2019.

WHEREAS, the Commission has expressed its desire to purchase said real property as described in the
attached Commission Resolution, subject to the approval of the Van Buren City Council.
NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
VAN BUREN,ARKANSAS,THAT:
SECTION 1: The Van Buren City Council hereby authorizes the Van Buren Municipal Utilities
Commission to purchase certain real property for the total sum of$387,000.00 utilizing
City of Van Buren Municipal Utilities Capital Improvement Funds.
SECTION 2: The Mayor is authorized and directed to execute such documents and instruments as may
be necessary to proceed with and finalize the purchase of said property,and the City
Clerk is hereby authorized and directed to attest same.
IN WITNESS WHEREOF,the City of Van Buren,Arkansas,by its City Council,did pass,
approve,and adopt,by a vote of (p for and 0 against,the foregoing Resolution at its regular meeting
held on the 2561 of March 2019.

A RESOLUTION RECOMMENDING THAT THE MAYOR AND CITY COUNCIL OF THE
CITY OF VAN BUREN, ARKANSAS AUTHORIZE THE CITY OF VAN BUREN
MUNICIPAL UTILITIES COMMISSION TO PROCEED WITH THE PURCHASE OF
CERTAIN REAL PROPERTY
WHEREAS,the City of Van Buren,Arkansas (City),owns a water works system and a
wastewater collection and treatment system,both being operated,maintained, and administered
by the City of Van Buren Municipal Utilities Commission(Commission)pursuant to Ordinance
9-1965, and
WHEREAS,The Commission has determined that additional real property is needed for the
purpose of land application of biosolids generated by the City's three(3) Wastewater Treatment
Plants,and
WHEREAS,the purchase of additional real property is absolutely necessary for the public good
and benefit in order to maintain the proper operation of the City's three(3) Wastewater
Treatment Plants, and
WHEREAS,the lack of additional real property could cause adverse health effects and the City
to be in non-compliance with Arkansas Department of Environmental Quality issued Permits , it
is necessary to purchase additional real property as soon as possible, and
WHEREAS,upon the Commission's best information,knowledge,and belief the value of said
real property is as listed below. The Commission, after negotiating with the seller of the certain
real property,wishes to offer in good faith to purchase said real property for the amount listed
below.
Legal Description
Tract 1 Property Description"As Surveyed"
Part of the West Half(W/2)of Fractional Section 1, T-8-N, R-30-W, Crawford County,
Arkansas,being more particularly described as follows: Beginning at the SW corner of said
fractional Section 1; thence NO2°41'58"E along the west line of said W/2, 2,982.64';thence
S87°55'52"E 1,934.01' to the west line of Crawford County Levee;thence along said west line
of Crawford County Levee the next four(4) courses: S21°50'12"E 360.94'; S08°08'24"W
1,055.57'; S24°57'23"W 730.00'; S25°31'23"W 1,020.12' to the south line of said fractional
Section 1;thence N87°41'22"W along said south line of fractional Section 1, 1,311.54' to the

NOW,THEREFORE,BE IT RESOLVED BY THE CITY OF VAN BUREN MUNICIPAL
UTILITIES COMMISSION,THAT:
(1) The Commission hereby recommends that the City Council authorize the
Commission to purchase the afore described real property for the amount listed above
utilizing City of Van Buren Municipal Utilities' Capital Improvement Funds, and
(2) The Commission hereby recommends that the City Council does authorize and direct
the Mayor to execute such documents and instruments as may be necessary to finalize
the purchase of said real property, and authorize and direct the City Clerk to attest
same.

Re:Amended Offer to Purchase Real Estate
Dear Ms.Adams:
As previously discussed via email,the City of Van Buren Municipal Utilities has
confirmed through research performed by Hawkins-Weir Engineers,Inc.and Howell
Law Firm,that 45.56 of the originally offered 325 acres appear to have been acquired by
the Crawford County Levy District some time ago and therefore is not available for sale
by the seller leaving approximately 279.44 acres available.
After review and discussion,the City of Van Buren Municipal Utilities Commission
offers the amended amount of Three Hundred and Eighty-Seven Thousand Dollars
($387,000)for the 279.44 available acres.

SECOND ADDENDUM to Offer to Purchase Real Estate
The City of Van Buren Municipal Utilities Offer to Purchase Real Estate is amended as
follows:
Sales Price
2. The total purchase price of Three Hundred and Eighty-Seven Thousand Dollars
($387,000)(the"Purchase Price")that is to be paid for the Property by the Buyer
is payable as follows:

a. The earnest money accompanying this offer is Ten Thousand Dollars($10,000)which
will be applied as credit to the Purchase Price at closing. Upon the failure of the Buyer to
obtain a third party Arkansas Department of Environmental Quality Permit(ADEQ
Permit)in the time frame set forth by this agreement,the Seller shall retain the earnest
money as liquidated damages. If title is found objectionable and is not cleared within the
time herein provided,or upon failure of Seller to comply herewith for any other reason,
Seller will relinquish any claim to the earnest money and return the same to Buyer.
Closing&Possession
3. The Closing Date will occur within thirty days of the Buyer receiving an
ADEQ Permit but in any event not more than ten(10)months from
Tuesday June 19,2018,at which point the Buyer will take possession of
the Property,
4. The Seller will provide confirmation that any leases have expired or have been
terminated prior to closing date.
The remainder of the Offer to Purchase Real Estate will remain as is.
