ORD NO 22-2019 CITY OF VAN BUREN,ARKANSAS ORDINANCE NO.oZ�-2019 BE IT ENACTED BY THE CITY COUNCIL, FOR THE CITY OF VAN BUREN, ARKANSAS, AN ORDINANCE TO BE ENTITLED: AN ORDINANCE APPROVING THE PURCHASE OF PROPERTY FROM J.W. FLOYD, A COMMISSIONER ON THE MUNICIPAL UTILITIES COMMISSION; RATIFYING THE PURCHASE OF THE PROPERTY; AND FOR OTHER PURPOSES. WHEREAS, the City of Van Buren, Arkansas, owns a water works system and a wastewater collection and treatment system,both being operated,maintained and administered by the City of Van Buren Municipal Utilities Commission(Commission) pursuant to Ordinance 9-1965; and WHEREAS, the Commission previously determined that additional real property was needed for the purpose of land application of biosolids generated by the City's three (3) Wastewater Treatment Plants; and WHEREAS, after negotiating with the sellers of the real property, one of the sellers including J.W. Floyd, the Commission offered by Resolution dated March 19, 2019, to purchase said property for the amount of$387,000.00; and WHEREAS, the Van Buren City Council approved the purchase of the real property from J.W. Floyd, one of five co-owners of said real property,pursuant to Resolution No. 3-2- 2019; and WHEREAS, J.W. Floyd is a commissioner on the City of Van Buren Municipal Utilities Commission; and WHEREAS, pursuant to Ark. Code Ann. Section 14-42-107, officials or employees of the City of Van Buren may not contract with the City unless approved by ordinance of the City Council; and WHEREAS, the City Council of the City of Van Buren wishes to approve conducting business with the aforesaid commission member and ratify the sale of the property in all respects. NOW,THEREFORE,BE IT ORDAINED AND ENACTED BY THE CITY COUNCIL OF THE CITY OF VAN BUREN,ARKANSAS,THAT: SECTION 1: The Van Buren City Council hereby expressly authorizes the purchase of property, as set forth in the attached Resolution, from the City of Van Buren Municipal Utilities Commissioner J.W. Floyd, one of five co-owners of said property, and ratifies in all respects the sale of the property made pursuant to City of Van Buren Resolution No. 3-2-2019. After review and discussion,the City of Van Buren Municipal Utilities Commission offers the amended amount of Three Hundred and Eighty-Seven Thousand Dollars ($387,000)for the 279.44 available acres. The total purchase price of Three Hundred and Eighty-Seven Thousand Dollars ($387,000)(the"Purchase Price")that is to be paid for the Property by the Buyer is payable as follows: � s a. The earnest money accompanying this offer is Ten Thousand Dollars($10,000)which will be applied as credit to the Purchase Price at closing. Upon the failure of the Buyer to obtain a third party Arkansas Department of Environmental Quality Permit(ADEQ Permit)in the time frame set forth by this agreement,the Seller shall retain the earnest money as liquidated damages. If title is found objectionable and is not cleared within the time herein provided,or upon failure of Seller to comply herewith for any other reason, Seller will relinquish any claim to the earnest money and return the same to Buyer. Closing&Possession 3. The Closing Date will occur within thirty days of the Buyer receiving an ADEQ Permit but in any event not more than ten(10)months from Tuesday June 19,2018,at which point the Buyer will take possession of the Property, 4.
