CITY OF VAN BUREN, ARKANSAS
RESOLUTION NO. SC 9-1981
A RESOLUTION ENTITLED: A RESOLUTION AUTHORIZING AND DIRECTING THE MAYOR OF THE CITY
OF VAN BUREN, ARKANSAS, TO SIGN A QUITCLAIM DEED TO CERTAIN PROPERTY TO DIAMOND
SHAMROCK CORPORATION.
WHEREAS, the city financed certain pollution control fascilities for Diamond
Shamrock Corporation, and
WHEREAS, certain questions have arrisen as tb the real estate upon which the
equipment and pollution control fascilities are situated, and
WHEREAS, the attorney who represents the Diamond Shamrock Corporation and is a
member of the firm who drafted the various papers in the industrial development
revenue bond issues have furnished the city with opinion of council, a copy of said
opinion is attached and made a part hereof, that the entire real property upon which
said equipment and pollution control fascility is situated should not be a part of
the land that the city has to protect the bondholders, and
WHEREAS, nothing said Quitclaim Deed release the equipment nor the pollution
control fascility from the obligation to the City of Van Buren, Arkansas, from
Diamond Shamrock Corporation, and
WHEREAS, the trustees of the bondholders has been requested to give a Quitclaim
Deed to the Diamond Shamrock Corporation.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF VAN BUREN, ARKANSAS THAT:
Section 1. The Mayor of the City of Van Buren, Arkansas, is authorized and
directed to execute a Quitclaim Deed to Diamond Shamrock Corporation (a copy of said
Quitclaim Deed is attached hereto and made= a;parthereof),and the city clerk is hereby
authorized and directed to attest the same.
Section 2. That the Mayor will not execute said deed until the City of Van Buren
is furnished a copy of the deed from the trustee of the bondholders.

QUITCLAIM DEED
KNOW ALL MEN BY THESE PRESENTS:
That the City of Van Buren, Arkansas, a City of the
first class under the laws of the State of Arkansas, GRANTOR, by its
Mayor and City Clerk duly authorized for the consideration of the
sum of Ten Dollars ($10.00) in hand paid by Diamond Shamrock'
Corporation, GRANTEE, the receipt of which is hereby acknowledged,
does grant, sell and quitclaim unto the said GRANTEE, and unto
its successors and assigns forever, all its right, title, interest
and claim in and to the following lands lying in Crawford County,
Arkansas, to wit:
A part of the South Half (S 1/2) of Tract No. 2, Crawford County
Industrial Park as filed for record March 18, 1968, being in the
Northeast Quarter of the Southeast Quarter of Section 30, Township
9 North, Range 31 West, Van Buren, Crawford County,. Arkansas, more
particularly described as follows:

Beginning at the Southeast Corner of said S 1/2 of Tract
No. 2, thence North 88 degrees 49 minutes 53 seconds West,
521.14 feet along the South line of said S 1/2 of Tract
No. 2 to a point in line with the projected centerline of
a partition wall of an existing warehouse; then N 01 degrees
17 minutes 27 seconds East, 331.19 feet along said projected
centerline and centerline of partition wall to the, North. line
of said S 1/2 of Tract No. 2; thence South 88 degrees 49
minutes 56 seconds East, 522.21 feet to the Northeast Corner
of said S 1/2 of Tract No. 2; thence South 01 degrees 28
minutes 30 seconds West, 331.20 feet to the point of beginning,
according to survey by Mickle- Wagner Associates, Inc.
dated 7 /31/81.
TO HAVE AND TO HOLD the same unto the said GRANTEE,
Diamond Shamrock Corporation,, and unto its successors and assigns
forever, with all appurtenances thereunto belonging.

a municipal corporation, and were duly authorized in their

foregoing instrument for the consideration, uses and purposes
therein mentioned and set forth.

and Trust Officer duly authorized, for the consideration of

Corporation, GRANTEE, the receipt of' which is hereby acknowledged,
